Capital alliance with TerraSky   NTT Data

NTT Data and TerraSky have concluded a capital alliance agreement and a business alliance agreement. This partnership will make Salesforce the largest domestic partner company in Japan in terms of number of engineers and license resale scale.
NTT Data Managing Director Hiroshi Tomiyasu commented, ”Through this partnership, they hope to generate annual sales of 50 billion yen in three years’ time in the area of NTT Data’s customer experience transformation (CX transformation)”.
  
Regarding the capital alliance, NTT Data will take over approximately 10% of TerraSky’s shares held by NTT Technocross. After this, the company aims to acquire over 5% of the shares through market purchases, for a total of 15.97% of the shares.
The 15.97% stake is expected to be worth around 3 billion to 4 billion yen.
At the same time, stock acquisition rights with business-linked conditions will be allocated. Specifically, if TerraSky’s consolidated operating profit exceeds 2.5 billion yen in the three years from February 2025 to February 2027, they will promptly acquire stock acquisition rights and ultimately The plan is for NTT Data to acquire a 20.12% stake. Regarding the business partnership, Managing Director Tomiyasu expressed his expectations for TerraSky’s high technological capabilities.
“At NTT Data, we would like to strongly expand the field of CX transformation.For CX transformation, Salesforce’s CRM solutions have become the de facto standard worldwide.Our company has received the Innovation Award from Salesforce for four consecutive years. We currently have 4,000 Salesforce-related engineers in 27 countries, but we would like to further expand our efforts. TerraSky is in a leading position in Salesforce and is number one in Japan. From NTT Data’s perspective, it is a very attractive company, and we would like to reflect TerraSky’s presence well in NTT Data”.
This partnership brings the number of Salesforce-related engineers to 4,670.
 
TerraSky’s operating revenue in 2023 is 19.1 billion yen. TerraSky is aiming for 24 billion yen in fiscal 2024.
President Hideya Sato said, ”NTT Data provides extremely difficult core systems as a service, and our company has been more of a front-line part of major companies.I think it’s a well-balanced partnership. Although the company has been in business for 19 years and has around 1,400 employees across the group, its recognition in the market has increased due to its partnership with NTT Data, and the company has a strong customer base. We hope that our technological capabilities will be useful”.
Managing Director Tomiyasu says, ”We want to slowly build a relationship with Terrace Sky.We chose stock acquisition rights with business-linked conditions to create a sense of mutual tension”.
